B2W terms of service

AGREEMENT

These Terms of Service constitute an agreement between Business to Web AS, a Norwegian company with organisation number NO963372698 (B2W), and a registered organisation with a national registration number (the Client). By paying a service bill referencing these Terms of Service with its version number, the Client enters into an agreement for further service delivery based on the corresponding Terms of Service document. The current Terms of Service are published at www.b2w.com/tos, and the Client will be notified of any changes by e-mail and by a change in Terms of Service version number being referenced on the invoice.

OUR ROLE

B2W offers a “Webmaster for hire” service that includes all the technical assets needed to own and manage Websites. We have assembled a technical platform that we call the “B2W Platform” that consists of resources from a range of leading suppliers. This platform consists of bandwidth, servers, software, and online applications and services that we integrate, extend, and update continuously.

OUR PURPOSE

B2W offers limited self-service capabilities. By configuring Web-based tools and offering support, we enable our clients to be self-sufficient with respect to frequent tasks like day-to-day Web content management. B2W eliminates the need for the customer to have an in-house Webmaster/Web team.

OUR PARTNERS

B2W concentrates on offering self-service tools with technical support. Design and development projects are left to our partnering design and communications agencies. Our relationships with partners allow our clients to participate in a triangle in which B2W and an agency cooperate to meet the client’s needs while still offering access to each party directly.

OUR COMPENSATION

The Client pays B2W for support and access to Web-based tools configured and managed by B2W. An agreed-upon, prepaid monthly fee covers system management, technical assets, and user support.

Web advertising is managed for a percentage of the budget spent. When the services of B2W are integrated with the services of a partnering communication agency, all requests going to the agency will be billed by the agency. Irrespective of whether billing goes directly from B2W or through a partnering agency, B2W’s delivery is based on these Terms of Service (www.b2w.com/tos) and our service rates (www.b2w.com/rates). The client will be notified of changes in terms and prices by e-mail 100 days in advance.

GUARANTEES AND LICENSES

The B2W Platform is made up of resources through which B2W signs extensive Terms of Service Agreements with multiple parties. B2W takes risk and secures rights towards these parties on behalf of the Client while isolating the Client from the corresponding liabilities. B2W makes no guarantees towards the Client other than to manage the resources constituting the B2W Platform to the best of our ability. Our services and tools are delivered on an “as-is” basis. Back-up and measures to avoid downtime are performed by B2W to the best of our ability; however, B2W is not liable for possible loss of client data, loss of business, or any other consequential disadvantage due to downtime of the Client’s Web resources.

TERMINATION

The Client can stop the service with 90 days’ written notice at any time. B2W can terminate the service with 10 days’ written notice if the Client fails to make due payment. B2W can block access to individual tools in the event that the Client or users authorized by the Client fail to comply with terms set by B2W suppliers. At termination, B2W shall give necessary assistance to assure that the Client’s content can be extracted and deleted from the B2W platform. The Client has the right to keep the technical solutions established with third-party suppliers, in the event of a transfer of the Webmaster role from B2W to an alternative service provider or an in-house employee. Assistance related to termination shall be prepaid according to normal service rates.

PROPERTY RIGHTS

Content created by and for the Client is the sole property of the Client, and B2W has no rights or liabilities related to this content. All codes and online tools in the B2W Platform are the property of B2W or B2W suppliers, and the Client has no rights or liabilities related to the equipment, code, or tools of the B2W Platform.

CONFIDENTIALITY

B2W provides confidentiality according to written instructions from the Client that are accepted by a binding B2W signature.

PROHIBITED CONTENT

The B2W platform cannot be used for illegal activity or for publishing content likely to cause service suspension from our Internet data centre partners. B2W has the right to block such content and its publisher from the B2W Platform after notice by phone or after 24-hour notice by e-mail.

GOVERNING LAW

B2W follows Norwegian law, and any legal conflict between the Client and B2W will be determined in a court of law in Oslo, Norway.
